Photography Release

FOR GOOD AND VALUABLE CONSIDERATION, the receipt and sufficiency of which is acknowledged, you grant to HealthStream, Inc. (collectively, “Company”), the irrevocable and perpetual right (unlimited as to the number of uses, times and territory) to use, publish and display (as edited or unedited in Company’s sole discretion) your photograph, image, video, voice, signature, name, likeness, conversation, sounds, biographical details, data, and/or material, whether written, oral or otherwise (collectively, the “Property”) in any media now known or hereafter developed any via any method of recording or capturing in connection with any materials created by Company for marketing and other purposes (including without limitation, the production of video and/or audio tapes, photographs, films, and/or recordings). You agree that Company shall forever own all right, title and interest in the Property and the results and proceeds of such Property, and shall have the irrevocable right to use, and license others to use, the Property in whole or in part, an unlimited number of times, in all languages, in all media whether now known or hereafter devised, anywhere in the world in connection with all forms of exploitation (including without limitation, advertising, sale, promotion, marketing, merchandising, and distribution of the Property, other programs, or other products and/or services). You expressly acknowledge and agree that you shall not receive any additional compensation of any kind in return for the rights granted by you in this Release.

Company shall have the right to edit the Property in any manner or form, and you waive any right to inspect or approve of any use of the Property. You waive any opportunity or right to inspect or approve any Property or any final product in which it may be used or incorporated. You release Company and its subsidiaries, affiliates, designees, and their respective successors and assigns from all claims now and hereafter existing which you and/or others claiming by or through you may have a right to assert arising under the terms of this Release, or from any use, non-use or editing of the Property. You agree that you shall not disclose any information nor issue any press releases, public statements or advertising, written or verbal, about the Property, this General Consent and Release, your experience during the production of the Property, or any correspondence with Company regarding the Property, without Company’s prior written approval in each instance. Notwithstanding anything to the contrary herein, Company is not obligated to use, exploit, or produce the Property.

By signing this Release, you represent, warrant, and covenant, that: (i) you are of legal age and have the full right and authority to execute this Release; (ii) you have read and understood this General Consent and Release; and (iii) this Release is a legal document, which shall be binding upon you, your heirs, executors, administrators and successors. This Release shall be governed by the laws of the State of Tennessee.
